Real Estate
Steptoe & Johnson LLP regularly assists clients in a broad range of commercial real estate needs, providing representation on both the transactional and tax aspects of real estate transactions.
The firm has handled transactions from the perspective of buyers, sellers, lenders, borrowers, landlords, and tenants, as well as receivers and conservators of interests in real estate, representing such clients in acquisitions, dispositions, financings and leases, and in taxable and tax-free exchanges of real estate.
Our work has involved a broad spectrum of real estate properties and projects ranging, for example, from undeveloped land to shopping centers, apartment buildings and hotels, from restaurants, retail space, office space and medical offices to mobile home parks, railroad yards, oil pipeline-related real estate and large portfolios of varied types of real estate interests.
The firm’s representations have encompassed traditional real estate transactions as well as novel real estate arrangements and structures. We have represented clients in the creation of real estate-holding entities such as limited partnerships and limited liability companies, public/private partnerships, REITs and related business structures, and we have advised real estate clients regarding the operation and termination of general and limited partnerships, limited liability companies, and other joint ventures in the real estate arena, including cross-border business ventures in unincorporated form.
Our conventional real estate capabilities are enhanced and strengthened by our sophisticated practice representing lenders in the workout or restructuring of troubled real estate loans both within and outside of bankruptcy proceedings, a practice in which we formulate and implement complex and innovative approaches to workouts and troubled real estate transactions. The firm also has particular experience in real estate joint ventures involving tax-exempt organizations as well as the tax aspects of cross-border investments in real estate.
When real estate disputes arise, Steptoe has a national team of real estate litigation attorneys who can handle litigation for commercial and residential developers/builders, REITs, owners, investors, lenders, borrowers, landlords, and tenants. They have experience in a wide range of properties including office, industrial, warehouse, apartment and condominium buildings, retail spaces, hotels and resorts, public venues and stadiums, in all phases of development and the real estate cycle. The Steptoe litigation team is well versed in economic, finance, and accounting issues, as well as real estate market and real property issues making them especially suited for contemporary complex real estate litigation.
