Business Solutions Teleconference

Join Don Meiers, a securities lawyer in Steptoe's Business Solutions group and former member of the SEC staff, as he leads a discussion of the common "stumbling blocks" to SEC-reporting companies' efforts to craft robust, quality "MD&A" disclosure.  The presentation will allow listeners to relate their individual experiences and learn from the experiences of others.  The presentation's objective is to provide insights into how to prepare more complete, candid and accurate disclosure.  

Among the stumbling blocks Mr. Meiers will explain how to overcome are:

• Using the MD&A in a prior period report as a starting point
• Sticking too closely to the financial statements "script"
• Failing to circle back with key internal sources of information
• Illustrating "Too Many Cooks in the Kitchen"
• Not checking other public disclosures
• Failing to "flex" the MD&A
