Kevin G. Hunter is a partner in the Phoenix office of Steptoe & Johnson LLP, where he is a member of the Corporate, Securities and Finance practice group. His practice covers all aspects of business transactions, including mergers and acquisitions, public and private securities offerings, commercial lending transactions, lease transaction, business entity formations, and other general contract matters.
Mr. Hunter represents numerous international, national and local companies from a variety of industries in connection with their business dealings in Arizona and the greater Southwest.
Representative Matters
- Represented Xanterra Parks & Resorts, Inc., the nation’s largest operator of park-based hotels, restaurants and stores, in connection with the acquisition of the Grand Canyon Railway, Grand Canyon Railway Hotel and related assets and operations.
- Represented a growing oil and liquid waste recycling company in numerous acquisitions transactions and in the refinance of its credit facility;
- Represented a local semiconductor equipment servicing company in a multi-million dollar asset sale to a Fortune 250 company;
- Represented the then largest community bank in Arizona in several public debt and equity offerings and in connection with its merger with a regional bank;
- Assisted a national restaurant chain in its private offering of convertible preferred stock;
- Advised a successful restaurant entrepreneur in an asset sale and joint venture with a national steakhouse restaurant chain; and
- Represented a local industrial equipment rental company in the sale of its assets to a publicly-held company.
Examples of ongoing matters include the following:
- Counsel to an Arizona based education finance company;
- Representation of the second largest non-profit blood banking organization in the United States in numerous acquisition and divestiture transactions;
- Representation of a Canadian multi-national engineering and construction firm in its acquisition of several US companies; and
- Representation of a consortium of Canadian investors in numerous commercial and residential real estate development projects in Arizona.

- As a member of the Maricopa County Bar Association and the State Bar of Arizona, Mr. Hunter has served on the Executive Council of the Securities Section of the State Bar of Arizona and as a member of the State Bar’s Subcommittee on Revising the Arizona Corporations Code. He has been an active participant in the Annual Arizona Venture Capital Conference, where he advises companies attempting to secure venture capital funds, and served on the Board of Directors of COMPAS, a local charitable organization benefiting the arts and sciences in metropolitan Phoenix.
