Carolyn Doozan Clayton ("Carrie") is of counsel at Steptoe & Johnson LLP, where she is a member of the Regulatory & Industry Affairs Department. Her practice involves representing rail carriers in a wide range of commercial matters. Prior to joining the firm's transportation practice group, Ms. Clayton's practice included tax matters, with an emphasis on tax-exempt organizations.
Rail Transportation Law
Ms. Clayton's experience in rail transportation law encompasses representing clients in commercial transactions, administrative proceedings and in litigation involving rail transportation. She has counseled railroad clients on matters concerning the negotiation and interpretation of rail transportation contracts and has represented clients in private commercial arbitration and mediation proceedings involving the interpretation of such contracts. Her administrative law experience includes counseling clients on compliance with federal regulatory procedures, as well as representing them before the Surface Transportation Board and its predecessor the Interstate Commerce Commission in complex rate reasonableness proceedings, construction applications, and mergers and acquisitions. Her litigation experience includes participation in complex commercial litigation in federal and state courts, representation of railroads in federal preemption cases, and in appeals before federal courts of appeal and State Supreme Courts. She is a member of the Association for Transportation Law Professionals.
