Caroline Gaudet is a partner in the Washington office of Steptoe & Johnson LLP, where she is a member of the Regulatory & Industry Affairs Department. Ms. Gaudet advises pipeline carriers and electric clients on a variety of transactional matters.
Ms. Gaudet has represented pipeline carriers in numerous open seasons, including transportation services agreements, rate tariffs, and rules and regulations tariffs, as well as throughput and deficiency agreements, interconnection agreements, pipeline capacity leasing, joint tariff agreements, exchange agreements, and settlement agreements.
Ms. Gaudet’s experience in the electric arena includes the acquisition of ownership interests in nuclear power plants, transmission service agreements, joint ventures to construct and operate transmission lines and hydroelectric wind power generation facilities, including a framework agreement for future joint ventures, community solar projects, power purchase agreements, and the acquisition of congestion rights.
Ms. Gaudet represents a significant manufacturer in connection with the financing of its sales of turbines and other heavy equipment to wind farm and other developers, and represented the lender in the $240 Million defeased lease financing of three electric distribution systems owned by three separate and unaffiliated Oklahoma rural electric cooperatives.
Ms. Gaudet spoke on pipeline open seasons at the Annual Business Conference of the Association of Oil Pipelines in 2007 and 2008.
