Don Meiers is a partner in the Washington office of Steptoe & Johnson LLP, where he is a member of the Corporate, Securities and Finance practice group. Mr. Meiers’ practice focuses on securities law matters and corporate governance/internal controls.  He represents issuers in public offerings of equity and debt securities, and also assists clients in completing securities offerings exempt from the registration requirements of the Securities Act of 1933.

Mr. Meiers also assists publicly-held clients in complying with the periodic reporting and other requirements of the Securities Exchange Act of 1934, bringing to bear his insights, experience, and dedication to “full and fair disclosure” derived from serving on the staff of the SEC’s Division of Corporation Finance for several years in the mid-‘90s. In this area, he has assisted clients with, among other things:

  • initially becoming subject to the Exchange Act through the filing of a Form 10 registration statement;
  • completing the application process to have their securities listed on a national securities exchange or quoted on Nasdaq;
  •  the proxy solicitation process associated with conducting annual meetings of security holders; and
  • raising and resolving legal and accounting issues with the staff of the SEC, often without the necessity of undertaking the no-action letter process.
Mr. Meiers is a regular speaker at securities law seminars.  One of his frequent discussion topics is entitled "Shall We MD&A?" Mr. Meiers analogizes the process of crafting robust, quality MD&A ("Management's Disclosure and Analysis) to learning how to ballroom dance.  He has also written a number of articles and prepared Board "tools" intended to get SEC-reporting companies to rethink their approach to "best practices" corporate governance.
