Julie Vinyard focuses on merger and acquisition transactions, joint ventures and strategic alliances, and other general corporate and commercial matters. She also represents banks and other financial institutions in connection with commercial loan transactions.
Julie advises corporate, partnership, and limited liability company clients in connection with structuring, negotiating, and documenting mergers and acquisitions; restructurings, consulting, and servicing arrangements; and joint ventures and strategic alliances. She also advises companies in connection with governance issues and general commercial transactions, including compliance with state corporation, partnership, and limited liability company laws and federal securities laws. Her experience includes the formation of various types of business entities, including corporations, partnerships, and limited liability companies, as well as drafting and negotiating these entities’ organizational documents.
Julie is well-versed in corporate finance, having handled securities offerings and asset-backed financings. Additionally, she has represented banks and other financial institutions in numerous secured financings, including drafting and negotiating credit agreements, security documents, and intercreditor agreements.
