Rich Battaglia is a partner in Steptoe’s Chicago office, where he is a member of the International Regulation & Compliance team.  Mr. Battaglia’s practice focuses on US, UK, and international anti-corruption laws, including the Foreign Corrupt Practices Act, the UK Bribery Act, and other anti-corruption laws, anti-money laundering, economic sanctions, and export controls.  He also provides advice on internal compliance planning and program development, compliance training, and implementation of compliance programs.  With his many years as in-house legal counsel as background, Mr. Battaglia strives to develop workable and efficient compliance policies and procedures for multinational companies that incorporate adequate procedures that efficiently and effectively satisfy requirements of applicable laws.  Mr. Battaglia provides advice on anti-corruption and economic sanctions due diligence and contract provisions in connection with third-party relationships and joint ventures and mergers and acquisitions.  Mr. Battaglia also advises on internal investigations in these regulatory compliance areas.

Mr. Battaglia was Senior Counsel - Regulatory Compliance for BP for many years with global responsibility in the anti-corruption, trade sanctions, and export controls areas, and he has more than 35 years of experience in the international petroleum industry both as in-house legal counsel and with his own consulting business which provided advice on corporate governance, compliance & ethics, anti-corruption, risk assessments, and investigations to entrepreneurial companies.  He has been a member of the International Chamber of Commerce Anti-Corruption Commission and was instrumental in drafting the ICC Guidelines on anti-corruption due diligence, contractual provisions, and other compliance safeguards for agents and other third parties.  Mr. Battaglia has been a frequent speaker at conferences on anti-bribery and trade sanctions compliance in Washington, DC, New York, Houston, London, Frankfurt, Paris, and Prague.

Since joining the Amoco Law Department in Chicago in 1976, Mr. Battaglia enjoyed the opportunity to work on a wide variety of both US and international transactions, to travel extensively, and to live and work overseas in Athens, Cairo, London, and Tehran.  While working for Amoco and then BP, he acquired knowledge of all aspects of the international petroleum industry, including “Upstream” exploration and production of oil and gas and “Downstream” refining and marketing.  In addition, he has significant experience with legal issues involving marketing agents and distributors, shipping and export/import, commodity trading, M&A, project financings, trade sanctions and export controls, and joint ventures.  Mr. Battaglia also led the multi-discipline M&A legal teams on the sale of five petroleum refineries and several pipeline systems; he led the legal work on project financings for large construction projects in Azerbaijan and Indonesia; negotiated and advised on petroleum concession agreements, and he led the legal work and negotiations on  international joint ventures. 

Mr. Battaglia has significant experience with both the US Foreign Corruption Practices Act and the UK Bribery Act, as well as with the anti-corruption laws of a number of other countries.  He also has experience with US and UK anti-money laundering laws, including the UK Proceeds of Crime Act.  While at Amoco and then BP, Mr. Battaglia provided legal and compliance advice and training programs on anti-corruption matters in some of the most challenging countries and he assisted in developing effective anti-corruption and trade sanctions compliance programs.  His experience includes providing legal and compliance advice regarding activities in more than 50 countries.
