Overview
(January 17, 2019, New York) — Steptoe & Johnson LLP is pleased to announce that Scott Fisher has joined the firm's New York office as a partner. Fisher, who is the third partner to join that office in four months, will practice in the firm's Corporate Group, with a focus on capital markets and securities.
Fisher advises clients on public and private offerings of debt and equity securities, mergers and acquisitions, and securities law and corporate governance. Much of his practice focuses on the Securities Act of 1933, the Securities Exchange Act of 1934, and the Sarbanes-Oxley Act, including related stock exchange requirements. Fisher works with issuers, underwriters, individuals, and private equity and investment funds doing business in the United States. He is also well-versed in the Canada-US multijurisdictional disclosure system (MJDS) and other provisions of the securities laws applicable to cross-border transactions. Fisher has significant experience working on complex, large-scale offerings with private equity funds, including all stages of investment in and exit from their portfolio companies.
"Scott is an excellent corporate and securities lawyer who brings critical '33 and '34 Act experience," said Phil West, chair of Steptoe. "His arrival builds upon the recent growth in both our Corporate Group and New York office."
Fisher commented: "In recent years, I have been handling a number of cross-border matters involving Canadian companies. While I look forward to continuing to build upon those relationships, I'm also excited about the opportunities that Steptoe's broad client base presents. My transition to Steptoe gives me the platform to expand my practice."
Steptoe corporate lawyers represent companies in all areas of corporate, securities, and finance transactions, particularly those in a cross-border context. They work with clients at every stage of the business cycle, from entity formation and early stage financing, to day-to-day advice on business and legal issues, to negotiating mergers, acquisitions, joint ventures and dispositions, to complex financial and restructuring transactions.
Fisher earned his B.A. from Yale, cum laude, and his J.D. from the University of Pennsylvania, where he was associate editor of the Journal of Labor and Employment Law. Fisher clerked for the Hon. Raymond J. Dearie of the Eastern District of New York.
