Danielle F. Fern is an associate in the Century City office of Steptoe & Johnson LLP, where she is a member of the Business Solutions Department. Her practice covers a broad spectrum of business and commercial transactions, as well as technology transfer transactions.

Prior to joining Steptoe & Johnson LLP, Ms. Fern was Deputy General Counsel at City of Hope National Medical Center and Beckman Research Institute. At City of Hope, Ms. Fern handled a wide variety of matters relating to the institution’s research operations and marketing activities, including intellectual property license agreements, collaboration and consortium agreements, material transfer agreements, and sponsored research and clinical trial agreements.

Previously, Ms. Fern was an attorney at a prominent Los Angeles law firm, where her practice spanned a wide range of corporate matters, including mergers and acquisitions, joint ventures, and general corporate governance.

Representative Matters

  • Negotiated a stem cell research consortium agreement with five major research institutions.
  • Represented a private equity firm in its acquisition and subsequent sale of three fixed base operations (i.e., private airport facilities for corporate jets and other private planes). Assisted the firm in its ongoing operation and management of limited liability companies formed to hold its acquisitions prior to subsequent sale.
  • Represented a Japanese manufacturer in forming a joint venture with a US company that is the exclusive licensee and distributor of certain name brand consumer products in the US.
  • Provided counsel to a large health care company on general corporate matters, including restructuring of subsidiaries, preparation of annual and special board and shareholder resolutions and amendments to charter documents.
  • Represented a public utility in its acquisition of a partially-constructed, 1,000 Megawatt power plant.
