Overview
The Wall Street Journal quoted Lisa Zarlenga in a recent article, "Big Corporate Mergers Get Fresh Tax Scrutiny in Washington." The article addresses a new bill put forward by Senators Whitehouse (D-RI) and J.D. Vance (R-OH) that would deny tax-free treatment to reorganizations between large corporations, which would subject shareholders to capital-gains taxes at the time of a tax-free reorganization instead of deferring them until they sell the new shares.
Speaking about the new bill Zarlenga said, "This would really sort of impact a core area of the tax law." She continued "this kind of pushes tax to the forefront" in dealmaking decisions, unlike current law, which tries to keep these decisions tax neutral.
