Global Competition Review quoted partner Ronan Scanlan in an article titled, "Minority stake unlikely to affect Prosus/Just Eat merger review," published on June 26, 2025. The article examines the European Commission’s review of Prosus's proposed €4.1 billion acquisition of Just Eat Takeaway, and whether Prosus's 27% minority stake in Delivery Hero could raise competition concerns.
Speaking to Global Competition Review, Scanlan said, "The starting point would be that it probably isn't [active in the relevant market] because that stake doesn't confer Prosus decisive influence over Delivery Hero." He added that the Commission "should only be looking at overlapping activities where the acquirer has decisive influence" — unless it is exploring whether the takeover could lead to coordinated effects.
