Part Two: Litigation Considerations – Delaware Versus Texas (And Others)
Date: Tuesday, October 14, 2025
Time: 10:00 a.m. - 11:00 a.m. EDT | 7:30 p.m. - 8:30 p.m. IST
During this second installment, we will cover how and why commercial disputes are litigated in Delaware versus alternative states like Texas and Nevada. Learn about the Delaware Court of Chancery and the new Texas Business Court, established in September 2024, and how cases might be resolved differently in each jurisdiction. We will also briefly cover key aspects and consideration for effective enforcement of orders and decrees of the Texas Business Court in India.
Key takeaways include:
- Delaware Court of Chancery – Established Leader: Understand the court’s role and the reasons for its historical preeminence in resolving corporate disputes, as well as why some businesses are looking to resolve disputes elsewhere given recent Delaware rulings perceived as less business-friendly, including the reversal of Tesla's $55.8 billion compensation package for Elon Musk.
- Texas Business Court – Business-Friendly Alternative: Learn about this new court, which focuses on complex, high-value disputes, has stricter requirements for shareholder derivative actions compared to Delaware, and other potential advantages like smaller caseloads and prompt attention and case management.
- Venue Options: Explore available options for resolving commercial disputes, based on your company’s place of incorporation and/or principal place of business in the US, as well as strategic and practical considerations to allow for efficient and predictable (as possible) dispute resolution.
