商事関連、訴訟、事業再生、破産に関する助言を顧客に提供。30年近い企業再編の経験を活かし、米国各地で公式/非公式の債権者委員会、債務者、資産取得者、投資家、独立取締役、取締役会、管財人、債権者、破産案件における無担保債権者、私的整理の代理人を務めている。また、Steptoeの倒産・企業再編プラクティス代表を務めている。
さらに、伝統的な売却と入札を通じ、健全な企業と問題を抱える企業の資産の取得/処分に関する助言を行なっている。こうした取引の顧客の業種は、航空宇宙・防衛、エネルギー、エンターテインメント、金融サービス、ヘルスケア、不動産、飲食店・ホスピタリティ、スポーツ用品、通信、運輸など多岐に渡る。
顧客の取引の代理人の他にも、企業の取締役会に対して性的な不正行為、企業/財務上の不正行為その他の内部調査に関する助言も頻繁に行なっている。また、雇用契約や退職合意に関する上級管理職の相談にも応じている。
米国各地の州/連邦裁判所で、貸し手責任、回避行動、受託者義務違反などの申し立ての弁護も行なっている。

Representative Matters
- Ferrellgasの破産に関連してEddystoneの代理人を務め、Ferrellgasの破産のあらゆる影響から免責された。このことが、その後に回収可能の評決が下される上で重要な役割を果たした。
- 連邦破産法第11条適用中のVerity Health Systemによる Francis HospitalのPrime Healthcareへの売却で、Prime Healthcareの代理人を務めた。
- 第三者債権者の裁判とそれに関する仲裁案件で合同会社および信託の弁護人を務め、裁判の直前に有利な形で秘密裏に和解した。
- GenOnの子会社に対する20億ドルの訴訟で、GenOn側の弁護人を務めた。
- ホームオートメーション技術のリーダー格であるSmartLabs Inc.のマジョリティ出資と資本増強に関し、同社の弁護人を務めた。
- 住宅建設会社William Lyon Homesのプレパッケージ型破産の裁判で、同社の代理人を成功裏に務めた。
- デラウェア州の裁判で、破産を申請したOrexigenの公式債権者委員会の代理人を務めた。
- PG&Eの無担保債権者委員会の共同議長を務めた。
- Britt Private Capital LLCおよびJupiter Investors LLCによる大手フランチャイズ・ピザ店Mountain Mike’s Pizza（カリフォルニア州北/中部を中心に180店以上を展開）の買収に関し、両社の代理人を務めた。
- SJB Brands LLCの「Juice It Up」フランチャイズシステム買収に関し、SJB Brands LLCの代理人を務めた。「Juice It Up」は、85を超えるフランチャイズ/ライセンス契約のサードパーティ加盟店を擁する。
- バハマに拠点を置くプライベートインベストメント組織Tavistock GroupによるSimply Self Storageの再編と、不動産関連投資に強みを持つBrookfield Asset Managementへのその後の売却に関し、Tavistock Groupと株主の代理人を務めた。
